01 Scope & Acceptance

These Terms and Conditions ("Terms") apply to your use of urbansignworks.com and to transactions with UrbanSign Works unless a separate written agreement expressly supersedes or modifies these Terms.

By accessing or using the website, submitting a request, requesting a quotation, approving artwork, placing an order, making a payment, or otherwise engaging UrbanSign Works for products or services, you agree to be bound by the applicable provisions of these Terms.

If you are entering into a transaction on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity.

02 About UrbanSign Works

UrbanSign Works is operated by Perpetual Works LLC.

UrbanSign Works provides custom signage products and related services, which may include design assistance, fabrication, finishing, lighting, packaging, shipping, installation, and project coordination depending on the scope of a particular project.

Product availability, manufacturing methods, materials, specifications, lead times, installation services, and other project details may vary according to the requirements of each order.

03 Website Use

You may use the website only for lawful purposes and in accordance with these Terms.

You agree not to:

• Use the website for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes.
• Attempt to gain unauthorized access to the website, servers, systems, accounts, or data.
• Introduce malicious code, malware, viruses, or other harmful technology.
• Interfere with website security, availability, performance, or functionality.
• Scrape, reproduce, distribute, or commercially exploit website content without authorization, except where permitted by law.
• Submit information that is knowingly false, misleading, fraudulent, or intended to impersonate another person or organization.

04 Products & Services

UrbanSign Works manufactures and supplies custom signage according to the specifications agreed for each project.

Product descriptions, photographs, renderings, examples, dimensions, colors, finishes, lighting characteristics, and other representations on the website are provided for informational purposes and may not represent the exact appearance of a particular finished product.

Because signage is frequently custom manufactured, reasonable variations in color, texture, finish, dimensions, material characteristics, lighting appearance, or fabrication details may occur.

05 Quotes, Estimates & Proposals

Quotes, estimates, and proposals are based on the information available to UrbanSign Works at the time they are prepared.

A quotation may be subject to assumptions concerning dimensions, materials, artwork, engineering, site conditions, installation, permits, access, shipping destination, electrical requirements, mounting surfaces, and other project conditions.

Unless otherwise stated in writing, a quotation does not constitute acceptance of an order or a guarantee that pricing, materials, production capacity, or lead times will remain available indefinitely.

If project requirements change after a quotation is issued, UrbanSign Works may revise the price, scope, schedule, or other applicable terms.

06 Orders & Contract Formation

An order becomes binding when accepted by UrbanSign Works through written confirmation, production authorization, payment acceptance, or another documented form of acceptance.

The applicable project documents may include, as relevant:

• Quotation or proposal.
• Scope of work.
• Approved artwork or drawings.
• Order confirmation.
• Invoice or payment terms.
• Installation or site requirements.
• Written change orders.

If there is a conflict between these Terms and a signed project-specific agreement, the signed agreement will control to the extent of the conflict.

07 Artwork, Designs & Approvals

Customers are responsible for reviewing and approving artwork, dimensions, colors, wording, logos, materials, finishes, lighting, mounting details, and other project specifications before production.

Once artwork or production specifications have been approved, UrbanSign Works may rely on that approval when manufacturing the order.

Customer-requested changes after approval may result in additional charges, revised production schedules, material costs, design fees, or other project costs.

UrbanSign Works is not responsible for customer-approved errors in spelling, dimensions, colors, logos, artwork, specifications, or other project details unless otherwise agreed in writing.

08 Manufacturing & Custom Specifications

Custom signs are manufactured according to the specifications agreed for the applicable project.

Manufacturing tolerances and reasonable variations may occur due to material properties, fabrication methods, finishing processes, lighting components, environmental conditions, and other manufacturing factors.

Materials may be substituted only where reasonably necessary and, where the change is material to the agreed specifications, subject to customer approval or applicable project terms.

Product dimensions and mounting requirements should be verified before fabrication where site-specific accuracy is necessary.

09 Installation & Site Conditions

Where installation services are included, the scope of installation will be determined by the applicable quotation or project agreement.

Customers are responsible for providing accurate site information and notifying UrbanSign Works of known site conditions that may affect installation.

Depending on the project, site conditions may include:

• Structural conditions and mounting surfaces.
• Electrical availability and requirements.
• Building access and working-hour restrictions.
• Permits, landlord approvals, property restrictions, or governmental requirements.
• Lifts, cranes, scaffolding, traffic control, or other specialized access requirements.

Additional work caused by inaccurate information, concealed conditions, restricted access, structural issues, permitting requirements, or other conditions outside the agreed scope may result in additional charges or schedule changes.

10 Shipping, Delivery & Risk of Loss

Shipping and delivery arrangements will be determined by the applicable project quotation, order confirmation, or other written agreement.

Estimated production or delivery dates are estimates unless expressly identified in writing as guaranteed dates.

Delays may result from manufacturing requirements, material availability, shipping carriers, weather, customs, permitting, site readiness, customer delays, or circumstances outside UrbanSign Works' reasonable control.

Customers should inspect delivered products promptly and notify UrbanSign Works of visible shipping damage or shortages within the period specified in the applicable shipping, warranty, or project documentation.

11 Pricing, Payment & Taxes

Prices are based on the scope, specifications, quantities, materials, services, shipping requirements, and other information available when the quotation is prepared.

Unless otherwise stated in writing, quoted prices may not include taxes, permits, installation-related costs, special access equipment, shipping, customs charges, or other costs outside the stated scope.

Customers are responsible for providing accurate billing and shipping information and for paying invoices according to the agreed payment terms.

Failure to make required payments may result in suspension of production, shipment, installation, or other services.

Where applicable, taxes, duties, customs charges, and government-imposed fees may be charged in addition to the stated product or service price.

12 Cancellations, Changes & Refunds

Because many UrbanSign Works products are custom manufactured, cancellation and refund rights may depend on the stage of production and the terms applicable to the specific order.

Before production begins, UrbanSign Works may be able to accommodate certain changes or cancellations subject to applicable project terms and costs already incurred.

Once materials have been purchased, fabrication has begun, custom components have been produced, or other work has been performed, cancellation or refund eligibility may be limited.

Any approved refund will be handled according to the applicable project agreement and payment method.

Customer-requested changes after approval may be treated as change orders and may require additional payment or schedule adjustments.

13 Warranties & Product Issues

Any express product or workmanship warranty offered by UrbanSign Works will be governed by the specific warranty terms applicable to the product or project.

Warranty coverage may depend on proper installation, electrical conditions, environmental exposure, maintenance, use, storage, handling, and compliance with applicable instructions.

Unless otherwise expressly provided in writing, warranties do not necessarily cover damage caused by misuse, abuse, unauthorized modification, improper installation, accidents, vandalism, environmental events, third-party work, or other conditions outside the applicable warranty scope.

Warranty Claims

Customers should promptly notify UrbanSign Works of a suspected defect and provide reasonable information, photographs, installation details, and other documentation requested to evaluate the claim.

If a claim is determined to be covered, the applicable remedy may include repair, replacement, correction, or another remedy provided under the applicable warranty or agreement.

14 Intellectual Property

The UrbanSign Works name, branding, website design, text, graphics, photographs, videos, logos, page layouts, original content, and other website materials are protected by applicable intellectual-property laws.

You may not reproduce, modify, distribute, publicly display, sell, license, or commercially exploit protected website content without appropriate authorization.

Customer Materials

Customers retain ownership of intellectual property they provide to UrbanSign Works, subject to any rights necessary for UrbanSign Works to perform the agreed services.

By providing artwork, logos, photographs, trademarks, designs, or other materials, you represent that you have the rights or authorization necessary for UrbanSign Works to use those materials for the applicable project.

UrbanSign Works Designs

Unless otherwise agreed in writing, UrbanSign Works retains rights in its pre-existing designs, concepts, processes, templates, technical methods, proprietary materials, and other intellectual property developed independently of a customer's materials.

15 Prohibited Uses

You may not use the website, products, or services in a way that violates applicable law or infringes the rights of UrbanSign Works or another party.

Prohibited activities include:

• Fraudulent transactions or misrepresentation.
• Intellectual-property infringement.
• Unauthorized access to systems or accounts.
• Distribution of malicious software or harmful code.
• Attempts to interfere with website or service operations.
• Use of UrbanSign Works materials or services for unlawful purposes.

16 Third-Party Services & Links

The website may contain links, integrations, payment services, communication tools, analytics services, advertising technologies, or other functionality provided by third parties.

17 Disclaimers & Limitation of Liability

To the maximum extent permitted by applicable law, the website and its general informational content are provided on an "as available" basis without guarantees that the website will always be uninterrupted, error-free, complete, or free of harmful components.

Product-specific warranties, if any, are governed by the applicable written warranty or project agreement.

To the maximum extent permitted by applicable law, UrbanSign Works and Perpetual Works LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to website use, products, services, delays, or transactions, except where such limitation is prohibited by law.

To the maximum extent permitted by applicable law, the aggregate liability arising from a particular transaction will not exceed the amount actually paid to UrbanSign Works for the specific product or service giving rise to the claim, except where a different limitation is required by applicable law or expressly agreed in writing.

18 Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless UrbanSign Works, Perpetual Works LLC, and their respective personnel, contractors, and service providers from claims, liabilities, damages, losses, costs, and reasonable expenses arising from your unlawful use of the website or services, your violation of these Terms, or your infringement of another party's rights.

This provision does not apply to the extent that a claim results from the gross negligence, willful misconduct, or other conduct for which indemnification cannot legally be required.

19 Force Majeure

UrbanSign Works will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, labor disruptions, governmental actions, transportation disruptions, supply-chain interruptions, utility failures, cyber incidents, material shortages, or other extraordinary events.

Where reasonably possible, UrbanSign Works may communicate material delays and work with the customer to establish an appropriate revised schedule.

20 Governing Law & Disputes

Unless a separate written agreement provides otherwise, these Terms are governed by the laws applicable to Perpetual Works LLC and its transactions, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms, the website, or a transaction with UrbanSign Works should first be addressed through good-faith communication between the parties.

Where informal resolution is unsuccessful, disputes may be brought before a court or other forum having appropriate jurisdiction, subject to applicable law and any binding dispute-resolution provision contained in a project-specific agreement.

Nothing in this section limits rights or remedies that cannot lawfully be waived or restricted.

21 Changes to These Terms

UrbanSign Works may update these Terms from time to time to reflect changes in the website, products, services, business practices, technology, or applicable legal requirements.

The updated version will be posted on this page with a revised "Last Updated" date.

Changes will apply prospectively unless applicable law or a separate written agreement requires otherwise.

Terms applicable to an already accepted order will not be materially changed retroactively without appropriate agreement where required.
